5. Payment Terms

5.1 Fees and Payment

• All fees are quoted in Euros (EUR) unless otherwise specified
• Payment terms are typically 30 days from invoice date
• Late payments may incur interest charges as permitted by law
• All prices exclude VAT, which will be added where applicable

5.2 Project Changes

Changes to project scope or requirements may result in additional fees and timeline adjustments. All changes must be agreed upon in writing before implementation.

6. Intellectual Property Rights

6.1 Client-Owned IP

Upon full payment, the Client will own the intellectual property rights to custom software developed specifically for their project, excluding:

• Pre-existing genusagkzs intellectual property
• Third-party libraries, frameworks, and components
• General methodologies and know-how

6.2 genusagkzs IP

genusagkzs retains ownership of:

• Pre-existing software, tools, and methodologies
• General knowledge and experience gained during projects
• Improvements to our proprietary tools and processes

6.3 Third-Party Components

Software may include third-party components subject to their respective licenses. The Client is responsible for compliance with such licenses.

7. Confidentiality

Both parties acknowledge that they may have access to confidential information. We agree to:

• Maintain strict confidentiality of all proprietary information
• Use confidential information solely for the purpose of providing services
• Implement appropriate security measures to protect confidential data
• Return or destroy confidential information upon request

8. Warranties and Disclaimers

8.1 Service Warranty

We warrant that:

• Services will be performed with professional skill and care
• Deliverables will conform to agreed specifications
• We have the right to provide the agreed services

8.2 Disclaimer

Except as expressly stated, all services are provided "as is" without warranty of any kind. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law:

11. Termination

11.1 Termination for Convenience

Either party may terminate services with 30 days written notice. The Client remains liable for all work completed and expenses incurred up to the termination date.

11.2 Termination for Cause

Either party may terminate immediately for material breach that remains uncured after 15 days written notice.

12. Force Majeure

Neither party shall be liable for delays or failures due to circumstances beyond their reasonable control, including natural disasters, government actions, pandemics, or technical failures of third-party services.

13. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the General Data Protection Regulation (GDPR). For details, see our Privacy Policy.

14. Governing Law and Jurisdiction

These Terms are governed by Dutch law. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Groningen, Netherlands.

15. Dispute Resolution

We encourage resolving disputes through direct communication. If unsuccessful, disputes may be resolved through mediation before resorting to litigation.
